    After identifying a potential acquirer 10 times the size of this company, Madison-Davis also brought in the investment banking firm and subsequent financial partners to finance the acquisition and merger.


  • Aerospace Industry. In 2004, with the pressures of an increasing stock price this aerospace industry company needed to quickly address its accelerated filing status under the Sarbanes Oxley 404 compliance requirements.

    Madison-Davis Professional Services was called into action and quickly ramped its documentation, remediation and testing services to address the issues brought forth by this company’s Big 4 auditor.


  • Telecommunications Industry. In 2005, when a large regional accounting firm needed to expand their accounting, auditing and technology staff on a national basis, they contracted with Madison-Davis Professional Services to provide these services in the Midwest and the South regions of the U.S.

  • Medical Equipment Industry. In 2005, when a public company medical equipment manufacturer changed its outside auditor from a Big Four firm to a rapidly growing national accounting firm, this national firm referred Madison-Davis Professional Services to handle all of the Sarbanes Oxley 404 compliance documentation, remediation and testing.

    This public company reviewed proposals from other national and international accounting firms and selected Madison-Davis based on its industry experience, its cost effective approach, and its SOX 404 methodology.


Sarbanes-Oxley 404 Compliance
The Sarbanes-Oxley Act — officially titled the Public Company Accounting Reform & Investor Protection Act of 2002 — was signed into law on July 30, 2002, and is widely regarded as the most significant change to federal securities laws in the United States since the New Deal. On the heels of historic financial scandals, such as Enron, Arthur Anderson and WorldCom, the law is named after Senator Paul Sarbanes (D-MD) and Representative Michael G. Oxley (R-OH).

The act is designed to review dated legislative audit requirements. The goal of the Sarbanes-Oxley act is to protect investors by improving and policing the reliability of corporate disclosures. The act covers issues such as establishing a public company accounting oversight board, auditor independence, corporate responsibility and enhanced financial disclosure.

HIPPA Legislation (the American Health Insurance Portability & Accountability Act of 1996) is a collection of rules governing health plans, doctors, hospitals and other health care providers. Arguably the most significant provision requires health plans and providers to use standard formats for electronic data interchange, such as electronic claims submission EDI.


Patriot Act / Anti-Money Laundering Compliance
The USA PATRIOT Act (the Uniting & Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001) is an act of federal legislation in the United States, enacted in response to the September 11, 2001 Terrorist Attacks, profoundly revising rules regarding information-gathering and criminal procedure with respect to incidents of suspected terrorism.

The act is an extremely complicated and lengthy piece of legislation, comprised of 158 sections and amending over 15 federal statutes. Much of it incorporates previous foreign intelligence acts, particularly the Foreign Intelligence Surveillance Act. Amended statutes include laws governing criminal procedure, computer fraud, foreign intelligence, wiretapping, and immigration.

Also contained are provisions dealing with financial assistance to victims of terrorism, increased benefits for public-safety workers and consumer protection from fraudulent charitable solicitations following an attack.

The act further includes numerous provisions designed to thwart money laundering activities.
